Explanation of Terms
In these general conditions the following terms are taken to mean:

Image – The term ‘Image’ includes all high resolutions digital images including the text, captions and names including the photographer’s name associated with each individual image.

Work – The term ‘Work’ implies any project the Images may be used in including hard copy publications, newsletters, foreign language publications, posters, postcards, stationery, etc and any digital formats such as e-mails, web sites, etc.

Customer – The ‘Customer’, an individual or company who agrees compliance with these terms and conditions by act of payment of the full fee.

Fee – The ‘Fee’ is price per picture paid by the Customer to LewisHarding. Payment of the Fee constitutes absolute full understanding and acceptance of these Terms and Conditions.

Copyright of all the Images from the www.lewisharding.com  web site in low resolution and high-resolution formats remain the property of LewisHarding.

The low-resolution images presented on the LewisHarding.com web site are as seen. The high-resolution images are generally jpeg 4.5mb over 3500 pixels in width and height and 300dpi.  Most images are also stored raw format at over 35mb per image.

The rights included in the uses of a LewisHarding image do not include third party rights to any persons, places, logos, trademarks which may appear in the image and LewisHarding themselves do not claim to hold such third party rights. The customer is solely responsible for determining if its use of LewisHarding images constitutes further consents from any third party and it is solely up to the customer to secure these consents before the image is used in the work. The customer shall indemnify LewisHarding against all losses, damages, actions, proceedings, claims, demands, expenses and costs (including legal costs or expenses properly incurred and any compensations, costs or disbursements paid by LewisHarding to compromise or settle a claim), incurred by LewisHarding in consequence of any breach or alleged breach of any copyright, or any other rights against a third party by the customer.

Although every effort is made by LewisHarding to ensure that the caption information is correct on our web site, LewisHarding accept no liability for any financial or other loss incurred by reliance placed on the information contained on the LewisHarding web site.

The granting of the license to use high-resolution images by LewisHarding.com is for ONE TIME USE ONLY. This license to use, in exchange for a fee, is non-transferable, non sub-licensable (unless other arrangements are made in writing with LewisHarding). Use of the image is for customer’s end-use only.

The downloading of low-resolution images (watermarked) is permissible but only for the purpose that they are used as positional guides only in a layout while the decision to choose high-resolution images is being made. This is the only function of the low-resolution image and no other rights or permissions will be granted. Only high-resolution images are to be included in the final layout. Neither the low-resolution nor the high-resolution image ma be modified, cut out, altered in any way unless LewisHarding has given written permission to do so. No low-resolution images may be used in the final work. Use of the low-resolution image, for the purpose described above, is for forty-five (45) days only.

In exchange for the fee, the granting of licensed use of the high-resolution image is on a one-time basis only.  One time use implies a single appearance in a single publication in one language and in one size whether the use is in digital or hard copy format. If expanded rights or Exclusive rights are required then please contact our office by telephone or e-mail to negotiate fee for the additional rights.

The granting of a license by LewisHarding does not guarantee the images will be compatible with your software or other image manipulation programmes. We use industry standard equipment and software but do contact this office if further details are required. Generally if the low-resolution positional images are compatible then it is a highly likely assumption the high-resolution images will be compatible.

Credit Acknowledgement
Each image used from www.LewisHarding.com must be accompanied by our credit acknowledgement statement – © LewisHarding Ltd.  A connection to our web site www.lewisharding.com is also appreciated. This statement must appear in an appropriate place within the publication clearly connecting our credit line with our image.

The use of LewisHarding Ltd images must not be used in the promotion or endorsement of unlawful or negative activities. Please contact LewisHarding directly if you are in any doubt that your use of our images will infringe on this important condition before placement of any of our images into your work.

One copy of the published Work containing LewisHarding images must be sent to LewisHarding Ltd, Ditchells Farm House, Delmonden Lane, Hawkhurst, Kent, UK, TN18 4XB  at no charge.

These Terms and Conditions are applicable to all legal relationships between LewisHarding and the customer and shall be governed by and interpreted in all respects in accordance with the Law of England. The parties agree to submit any dispute regarding the interpretation of the Terms and Conditions or the rights and obligations of the parties to the arbitration of two persons, one selected by each party, or their mutually agreed umpire pursuant to the Arbitration Act of 1996 or any substituted or amending stature from time to time in force.
